Welcome to WINMOR ("WINMOR", "we", "our", or "us").

These Terms and Conditions govern your access to and use of the WINMOR website, products, software, systems, and services. By accessing our website, engaging our services, commencing a free trial, or subscribing to a service, you agree to be bound by these Terms and Conditions.


1. About WINMOR

WINMOR provides business automation, customer communication, lead management, review generation, CRM implementation, marketing automation, and related business services.

Services may include, but are not limited to:

  • Missed Call Text Back systems

  • Lead capture and lead management solutions

  • Customer review request automation

  • CRM implementation and configuration

  • Workflow and business process automation

  • Appointment booking systems

  • Reporting and customer communication tools

  • Artificial intelligence and conversational automation tools

  • Related consulting, support, and business automation services

WINMOR reserves the right to modify, expand, restrict, or discontinue any service offering at its discretion.


2. Eligibility

You must be at least 18 years of age and have the legal authority to enter into binding agreements on behalf of yourself or any business or organisation you represent.

By engaging WINMOR, you warrant that you have such authority.


3. Service Agreements

Unless otherwise agreed in writing, all WINMOR services are provided on a month-to-month basis.

A service agreement is formed when:

  • You accept a proposal or quotation;

  • You subscribe through our website;

  • You provide payment details;

  • You commence a free trial; or

  • WINMOR begins providing services on your behalf.


4. Free Trial

Where offered, WINMOR may provide a 21-day free trial.

By commencing a free trial, you authorise WINMOR and its payment processors to securely store your payment details for future billing.

Unless cancelled before the trial period expires, your subscription will automatically convert to a paid subscription and recurring billing will commence using your nominated payment method.

It is your responsibility to cancel before the trial period expires if you do not wish to continue using the service.

WINMOR reserves the right to modify, withdraw, or limit free trial offers at any time.


5. Fees and Payment

All fees are charged in Australian Dollars (AUD).

Subscription fees are billed in advance on a recurring basis using your nominated payment method.

You authorise WINMOR and its payment providers to charge all applicable fees, taxes, and charges associated with your account.

Failure to make payment may result in:

  • Suspension of services;

  • Restriction of account access;

  • Removal or disabling of active automations;

  • Suspension of telephone numbers;

  • Recovery action where applicable.

WINMOR reserves the right to adjust pricing upon providing reasonable notice.

Unless otherwise stated, all fees are exclusive of any applicable taxes.


6. Cancellation and Termination

Either party may terminate services by providing not less than thirty (30) days written notice.

Subscription fees already paid are non-refundable except where required by Australian Consumer Law.

Upon termination:

  • Services may remain active until the end of the paid billing period;

  • Access to WINMOR systems may be removed;

  • Hosted automations may be disabled;

  • Telephone services may be disconnected;

  • Third-party integrations may be removed.

WINMOR may terminate or suspend services immediately where a client:

  • Fails to make payment;

  • Breaches these Terms;

  • Engages in unlawful conduct;

  • Uses services in a manner that may damage WINMOR's reputation, infrastructure, or compliance obligations.


7. Refund Policy

All fees paid to WINMOR are non-refundable except where required by Australian Consumer Law.

No refunds are provided for:

  • Partially used subscription periods;

  • Change of mind;

  • Failure to utilise the service;

  • Business closure;

  • Service cancellations;

  • Delays or interruptions caused by third-party providers.

Nothing in these Terms excludes rights available under Australian Consumer Law.


8. Client Responsibilities

The client agrees to:

  • Provide accurate and current information;

  • Maintain access to required third-party accounts and services;

  • Comply with all applicable laws and regulations;

  • Obtain any required customer consents;

  • Maintain appropriate permissions for SMS, email, review, and marketing communications;

  • Ensure all communications sent through WINMOR systems comply with applicable legislation.

The client remains solely responsible for all communications, campaigns, messages, content, reviews, marketing activities, and customer interactions conducted through WINMOR services.


8A. Acceptable Use Policy

The client must not use WINMOR services to:

  • Send unsolicited or unlawful communications;

  • Distribute spam or bulk messaging in breach of applicable laws;

  • Mislead, deceive, or impersonate another person or business;

  • Collect information unlawfully;

  • Submit, solicit, or publish fake, misleading, manipulated, or incentivised reviews that breach the policies of Google, Meta, or any other review platform;

  • Engage in fraudulent, abusive, defamatory, harassing, or unlawful conduct;

  • Violate any applicable privacy, telecommunications, consumer protection, anti-spam, or marketing laws.

The client is solely responsible for all communications, content, campaigns, reviews, and customer interactions conducted through WINMOR services.

WINMOR reserves the right to suspend or terminate services immediately if it reasonably believes a client has breached this section.


9. Third-Party Services

WINMOR may utilise or integrate with third-party providers including, but not limited to:

  • GoHighLevel

  • Google

  • Meta

  • Facebook

  • Instagram

  • Twilio

  • Stripe

  • Email service providers;

  • SMS service providers; and

  • Other software and cloud service providers.

WINMOR does not control these providers and is not responsible for:

  • Platform outages;

  • Service interruptions;

  • API failures;

  • Account suspensions;

  • Policy changes;

  • Data loss caused by third parties;

  • Changes to third-party pricing or service availability.

Availability of WINMOR services may depend upon the continued operation of third-party providers.


10. Intellectual Property

All intellectual property created, developed, licensed, configured, supplied, or made available by WINMOR remains the exclusive property of WINMOR unless expressly agreed otherwise in writing.

This includes, without limitation:

  • Workflows;

  • Automations;

  • Snapshots;

  • Templates;

  • Scripts;

  • Documentation;

  • Processes;

  • Configuration methods;

  • Training materials;

  • AI prompts and automation logic;

  • System architecture;

  • Proprietary business methodologies.

Clients receive a limited, non-exclusive, non-transferable licence to use WINMOR services during an active subscription.

No ownership rights are transferred to the client.


11. Client-Owned Assets

The client retains ownership of assets they own or control, including:

  • Business names;

  • Domains;

  • Websites;

  • Branding;

  • Logos;

  • Social media accounts;

  • Google Business Profiles;

  • Customer databases;

  • Existing telephone numbers;

  • Trademarks and intellectual property owned prior to engagement.

WINMOR claims no ownership over these assets.


12. Telephone Numbers

Where WINMOR supplies a telephone number as part of a service offering:

  • The telephone number remains the property of WINMOR unless expressly agreed otherwise in writing.

  • Access to the number is conditional upon maintaining an active subscription and complying with these Terms.

  • WINMOR may suspend, disconnect, reclaim, or reassign a number following cancellation, termination, or non-payment.

Where WINMOR has provisioned a dedicated telephone number exclusively for a client's use, the client may submit a written request for the number to be transferred or ported to another provider following termination of services.

WINMOR may, at its sole discretion, approve or decline such requests.

When considering a transfer request, WINMOR may take into account:

  • The length of time the number has been assigned to the client;

  • Whether the number was provisioned exclusively for that client;

  • Outstanding account balances;

  • Any contractual obligations;

  • Carrier requirements and technical limitations.

WINMOR reserves the right to charge reasonable administrative, carrier, setup, transfer, and porting fees associated with any approved transfer.

Approval of a transfer request does not create any obligation on WINMOR to transfer ownership of a number and each request will be assessed individually.

Telephone numbers that are shared, pooled, temporary, demonstration, campaign-specific, or otherwise not dedicated exclusively to a particular client are not eligible for transfer or porting.


13. Limitation of Liability

To the maximum extent permitted by law, WINMOR shall not be liable for any:

  • Loss of profits;

  • Loss of revenue;

  • Loss of business opportunity;

  • Loss of customers;

  • Loss of goodwill;

  • Data loss;

  • Indirect loss;

  • Consequential loss;

  • Special damages;

  • Business interruption.

WINMOR does not guarantee:

  • Specific business outcomes;

  • Increased sales;

  • Increased leads;

  • Increased reviews;

  • Improved rankings;

  • Marketing performance;

  • Any particular return on investment.

WINMOR makes no guarantee regarding:

  • Lead volume;

  • Lead quality;

  • Conversion rates;

  • Customer response rates;

  • Review acquisition rates;

  • Revenue increases;

  • Business growth;

  • Search engine rankings;

  • Marketing performance.

Business outcomes depend on numerous factors outside WINMOR's control, including market conditions, competition, pricing, customer demand, operational performance, and third-party platform functionality.

The client acknowledges that WINMOR provides tools, systems, automation services, and implementation services only, and does not warrant any particular commercial outcome.

To the maximum extent permitted by law, WINMOR's total liability arising from any claim shall not exceed the total fees paid by the client to WINMOR during the three (3) months immediately preceding the event giving rise to the claim.


14. Website Use

You agree not to:

  • Use the website unlawfully;

  • Attempt unauthorised access to systems;

  • Interfere with website operation;

  • Upload malicious software or code;

  • Copy, reproduce, or distribute website content without permission;

  • Use the website in a manner that may impair its operation or security.

WINMOR may suspend or restrict access where misuse is detected.


15. Privacy

Your use of our website and services is also governed by our Privacy Policy.

By using WINMOR services, you consent to the collection, use, storage, and disclosure of information in accordance with our Privacy Policy.


16. Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any rights or remedies available under the Australian Consumer Law or other applicable legislation.

Where liability cannot be excluded, WINMOR's liability is limited to the maximum extent permitted by law.


17. Changes to These Terms

WINMOR may update these Terms and Conditions from time to time.

Updated Terms will be published on our website and become effective upon publication unless otherwise stated.

Continued use of the website or services after publication constitutes acceptance of the updated Terms.


18. Governing Law

These Terms and Conditions are governed by the laws of the State of South Australia, Australia.

Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of South Australia.
